Rug-A-Roo — Terms & Conditions of Sale, Service & Website Use

Terms & Conditions

Effective date: August 29, 2025

Last updated: August 29, 2025

Welcome to Rug-A-Roo (”Rug-A-Roo”, “we”, “us”, or “our”). These Terms & Conditions (the “Terms”) govern (1) sales of flooring and related products and services by Rug-A-Roo in Canada (the “Sales Terms”) and (2) your use of our websites and online services that link to these Terms (the “Website Terms”). By placing an order, paying a deposit, scheduling service, or using our website, you agree to these Terms. If you do not agree, please do not proceed.

1) Sales Terms (Retail, Supply-Only, and Supply‑&‑Install)

1.1 Quotes & Estimates

  • Quotes are valid for 30 days unless otherwise stated.

  • Measurements are estimates only until verified by our team. We may add industry-standard overage (typically 5–10%) for cuts, pattern match, waste, and future repairs.

  • Any changes to layout, product, trims, stair profiles, or scope after quote approval may require a revised quote.

1.2 Orders, Special Orders & Availability

  • An order is accepted when we issue written confirmation or take a deposit.

  • Many products are special order and made or allocated specifically for you. Special orders are non‑cancelable and non‑returnable once placed with the supplier.

  • Estimated lead times are provided in good faith but are not guaranteed and may change due to manufacturer or transport delays.

1.3 Pricing, Taxes & Payment

  • Prices are in Canadian dollars and exclude applicable taxes unless noted. HST/GST/PST will be added as required by law.

  • Unless stated otherwise, payment schedule is: 50% deposit on order; balance due on delivery or substantial completion of installation.

  • We accept the payment methods listed on your invoice. Title to goods transfers upon payment in full; risk of loss passes on delivery to site or pickup, as applicable.

  • Overdue balances may accrue interest at 2% per month (26.82% per annum) or the maximum allowed by law. We may withhold further work, remove discounts, or pursue remedies available under the Ontario Construction Act and other applicable laws.

1.4 Delivery, Storage & Pickup

  • Curbside or threshold delivery is standard unless otherwise specified. Additional handling (stairs, long carries, lifts) may incur fees.

  • If site is not ready, we may arrange storage at your cost. Storage and redelivery charges may apply.

1.5 Customer Responsibilities (Before Installation)

To help ensure a smooth installation, you agree to:

  • Provide safe, timely access to the site and a responsible adult on‑site during work.

  • Ensure ambient conditions meet manufacturer requirements (temperature, humidity, HVAC operational).

  • Clear rooms: remove personal items, small furniture, electronics, fragile/heirloom items, draperies, and closet contents.

  • Furniture & appliances: Unless your quote includes moving, you must arrange it. We do not move pianos, pool tables, aquariums, safes, gym equipment, or items over 200 lbs. Appliance disconnection/reconnection, gas/water lines, and toilet removal/reset require licensed trades and are your responsibility unless stated.

  • Pets must be secured away from work areas.

  • Identify any hazardous materials (e.g., asbestos, lead paint, mold). We do not disturb or remove hazardous materials.

1.6 Site Conditions, Subfloors & Moisture

  • We install to manufacturer instructions and recognized industry standards (e.g., NWFA for hardwood, TTMAC for tile) as applicable.

  • Subfloor flatness, structural integrity, and moisture are critical. Unless specifically included, subfloor preparation (levelling, patching, sanding, underlayment, self‑leveller) is extra.

  • Moisture testing may be recommended. We are not responsible for failures caused by excessive moisture, hydrostatic pressure, leaks, or humidity outside manufacturer limits.

1.7 Existing Floor Removal & Unforeseen Conditions

  • Removal may reveal unforeseen issues (rot, mould, asbestos, inadequate subfloor, electrical/plumbing conflicts). Any remediation or additional work will be quoted as a change order. Work may be paused until approved.

1.8 Stairs, Trim & Doors

  • Stair work (treads, risers, stringers, nosings) and custom transitions may require custom fabrication and additional time/cost.

  • Baseboards, quarter‑round/shoe moulding, and transitions are installed per quote. Caulking, painting, and finishing are by others unless specified.

  • Door planing/trimming due to new floor height is by others unless included.

1.9 Product Characteristics & Shade Variation

  • Natural hardwood, stone, and ceramic/porcelain tile feature inherent variation in colour, grain, veining, shade, and size (calibre). Luxury vinyl, laminate, and carpet may also vary by dye lot and plank/tile pattern distribution.

  • Samples and photos are illustrative; installed product may differ. Blending cartons during install reduces variation but does not eliminate it.

  • Acceptance of product occurs upon installation or use. Claims for visible defects must be raised before installation. Post‑installation issues are subject to manufacturer/industry standards for evaluation.

1.10 Installation Standards & Limitations

  • Tile layouts aim to minimize lippage within industry tolerances. Large‑format tile and natural stone have greater inherent lippage.

  • Heated floors require compatible products and controls; warranty is void where incompatible or misused.

  • Flooring may need acclimation per manufacturer guidelines.

  • After installation, follow care and maintenance instructions. Damage from misuse, pets, water, high heels, rolling loads, or lack of maintenance is excluded.

1.11 Clean‑Up & Waste

  • We will remove job‑related debris we create and leave the area broom‑clean. Disposal fees may apply for old flooring and packaging. Minor dust is expected; final cleaning is by others.

1.12 Returns & Cancellations

  • Stock items may be returnable within 14 days in unopened, resalable cartons, subject to inspection and up to 25% restocking fee; special orders are not returnable.

  • Installed or cut materials, adhesives, grouts, trims, closeouts, and clearance items are final sale.

  • If you cancel after order placement but before shipment and the product is returnable, you are responsible for supplier return/shipping fees.

1.13 Warranties

  • Workmanship (labour) warranty: Rug-A-Roo warrants installation workmanship for 1 year from completion unless a different period is shown on your invoice. We will repair or replace, at our option, defects arising from our labour.

  • Manufacturer warranty: Product warranties are provided by the manufacturer and are subject to their terms, exclusions, and required maintenance. We assist with claims but do not control outcomes.

  • Exclusions: Normal wear, shade variation, fading, indentation, scratches, water damage, subfloor movement, environmental conditions, and issues caused by misuse or third parties are excluded. This warranty is non‑transferable and limited to the original purchaser at the original installation address.

  • Your statutory rights under applicable consumer protection laws are not affected.

1.14 Limitation of Liability

To the fullest extent permitted by law, Rug-A-Roo’s total liability for any claim arising out of or relating to your purchase, installation, or use of our products/services is limited to the amount you paid for the affected goods/services. We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages (including lost profits, loss of use, or diminution in property value), even if advised of the possibility.

1.15 Photos & Reviews

With your permission, we may photograph completed projects for quality control and portfolio/marketing use. You grant Rug-A-Roo a non‑exclusive, royalty‑free licence to use non‑identifying photos and reviews you share with us, unless you revoke consent in writing.

1.16 Force Majeure

We are not responsible for delays or failure to perform due to causes beyond our reasonable control, including supplier delays, labour disputes, epidemics, extreme weather, transport disruptions, or acts of government.

1.17 Disputes & Governing Law

These Sales Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. The courts of Ontario will have exclusive jurisdiction, **sitting in
